These terms govern use of the GiveMeTerms platform at givemeterms.com. By creating an account you agree to them. GiveMeTerms is currently operating as a pre-launch sandbox — all marketplace activity is simulated and no real funds move until commercial launch.
GiveMeTerms is a B2B trade credit marketplace: business sellers list outstanding invoices, the invoice's buyer confirms validity, and accredited investors fund the receivable in exchange for a return at maturity. GiveMeTerms is not a bank. Payment services are provided through our financial services partners.
Sellers and buyers must be businesses operating in the United States and complete business identity (KYB) and bank ownership verification. Investors must be verified accredited investors under Rule 501 of Regulation D; investment functionality is unavailable until accreditation verification completes. You are responsible for the accuracy of the information you provide and for safeguarding your credentials.
Investment opportunities on GiveMeTerms are offered under Rule 506(c) of Regulation D to accredited investors only. They are speculative, illiquid, and involve risk of loss, including total loss of principal. Nothing on the platform is investment, legal, or tax advice. Past or projected returns do not guarantee future results.
Submitting an invoice is a representation that it reflects a genuine, unencumbered receivable for goods or services actually delivered. Buyer confirmation is a representation that the payable is valid and will be paid at maturity. Fabricated, duplicate, or materially misstated invoices are grounds for immediate termination, forfeiture of fees, and referral to law enforcement.
Seller discount fees and investor economics are disclosed per listing before commitment. ACH transfers are executed by our payment partners at your direction; timing depends on banking rails. You authorize us to correct erroneous transfers.
No unlawful activity, no misrepresentation of identity or authority, no interference with the platform's operation or security testing without written permission, no use that violates sanctions or anti-money-laundering laws.
The platform is provided "as is." To the maximum extent permitted by law, GiveMeTerms disclaims implied warranties and is not liable for indirect, incidental, or consequential damages. Our aggregate liability is limited to the greater of fees you paid us in the prior twelve months or $100.
We may update these terms (material changes will be notified in-app or by email) and may suspend accounts that violate them. Disputes are governed by the laws of the United States and the state of our principal place of business, without regard to conflicts rules.
